Specialist, Subsidiary Governance Paralegal We are seeking a talented and motivated Subsidiary Governance Paralegal to join the Organon Office of the Corporate Secretary. This position is based in Jersey City with the option of hybrid in-person and remote work. The Specialist, Subsidiary Governance Paralega l exercises a high level of judgment and discretion. This is an excellent opportunity to be part of a close-knit, cross-functional team of talented, diverse and creative individuals while developing and expanding your career. Provide entity compliance support for U.S. and international subsidiaries, including preparation of corporate documents, due diligence, record keeping, and preparation of government and agency filings; Prepare and file all documents for formation/dissolution of subsidiaries, including articles of incorporation, bylaws, articles/certificates of dissolution, and board and stockholder minutes and consents; Coordinate with teams across the organization (both U.S. and internationally), including within the Office of the Corporate Secretary, Office of the General Counsel, Business Development, Finance, Treasury, Tax, HR, and business and commercial teams, on an as-needed basis; Handle ongoing subsidiary needs, including coordination of, and preparation of documents for, each subsidiary's annual meeting, changes in directors and officers, and
